These Terms of Service ("Terms") govern your access to and use of iAmAI ("the Service", "we", "us"), an automated SEO optimization service for Shopify merchants. By installing the iAmAI app, creating an account, or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not install or use the Service.
1. The Service
iAmAI is a Software-as-a-Service (SaaS) application that connects to your Shopify store and:
- Generates SEO suggestions (product titles, meta descriptions, image alt text, FAQ blocks, internal links) using AI.
- Surfaces suggestions in a dashboard where you can approve, reject, or edit them.
- Optionally applies approved changes automatically to your Shopify store on a schedule you control.
- Provides analytics on the AI visibility of your products across major large-language models.
The exact features available to you depend on your subscription plan and may change over time. We will notify you of material changes via email.
2. Account & Eligibility
- You must own or be authorized to install applications on the Shopify store you connect to iAmAI.
- You must be at least 18 years old or the age of majority in your jurisdiction.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- One iAmAI account may be linked to one or more Shopify stores subject to plan limits.
3. Subscription, Billing & Shopify Billing API
Billing is handled exclusively through the Shopify Billing API. When you subscribe to a paid plan, your charge appears on your regular Shopify invoice and is processed by Shopify, not by iAmAI directly. We never see, store, or process your credit-card details.
3.1 Plans and pricing
Plan tiers, included features, usage limits and pricing are listed at iam-ai.co.il/pricing and on the Shopify App Store listing for iAmAI. Pricing is subject to change with at least 30 days' notice for existing subscribers; price changes do not apply to a billing period that has already started.
3.2 Free trial
Where a free trial is offered, no charge applies during the trial period. If you do not cancel before the trial ends, your subscription begins at the standard price for your selected plan.
3.3 Recurring charges
Subscriptions renew automatically each billing period (typically monthly) until cancelled. Renewals are charged through Shopify Billing on the date corresponding to your initial subscription start.
3.4 Usage-based fees
Some features may include usage-based metering (e.g. number of AI suggestions generated per month). Where applicable, usage is shown in your iAmAI dashboard and any overages are billed via Shopify Billing on the next renewal cycle.
4. Cancellation & Refunds
- Cancel anytime. You may cancel your subscription at any time by uninstalling the iAmAI app from Shopify Admin › Settings › Apps. Cancellation is immediate; you will not be charged for any future billing periods.
- No partial-month refunds: for the current billing period at the time of cancellation, no refund is issued for the unused portion. You retain access to the Service until the end of your paid period.
- Pro-rata refund within 14 days of first subscription: if you cancel a paid subscription within the first 14 days, you may request a pro-rata refund of the unused portion by emailing [email protected] within 7 days of cancellation. Refunds are processed via Shopify and may take up to 14 business days.
- Misuse / abuse: we reserve the right to deny refunds where the Service was used in violation of these Terms (see Section 6).
5. Service Level & Availability
- Uptime target: we aim for 99.5% monthly uptime, measured as availability of the iAmAI dashboard and the Shopify-side automation crons. This is a target, not a guaranteed SLA — exceptions for scheduled maintenance, Shopify-side outages, and force-majeure events apply.
- Scheduled maintenance is announced in advance via the dashboard or by email at least 24 hours before non-trivial windows.
- AI processing cadence: on-demand suggestions are generated within minutes; daily/weekly automation runs occur on the schedule shown in your settings.
- No SLA credits: if uptime falls below the target in any given month, no automatic billing credit is issued. Persistent issues may be escalated by contacting support.
6. Acceptable Use
You agree NOT to:
- Use the Service in ways that violate Shopify's Acceptable Use Policy or any applicable law.
- Submit content that is unlawful, infringing, defamatory, hateful, or that violates third-party intellectual-property rights.
- Reverse-engineer, decompile, scrape, or attempt to circumvent rate limits, paywalls, or authentication mechanisms.
- Use the Service to spam, deceive search engines (e.g. cloaking, hidden text), or otherwise engage in manipulative SEO practices that violate search-engine guidelines.
- Resell, sublicense, or redistribute the Service without our prior written consent.
- Use the Service to compete against iAmAI directly (e.g. building a competing product using our outputs).
Violation may result in suspension or termination without refund, in addition to any legal remedies available to us.
7. AI-Generated Content
iAmAI uses third-party large-language models (Google Gemini, Anthropic Claude, OpenAI) to generate content suggestions. You acknowledge and agree:
- You are responsible for reviewing and approving AI-generated content before it is published to your store. Auto-apply mode is provided as a convenience; using it transfers no liability to us for the content's accuracy, legality, or commercial impact.
- AI-generated text may contain factual errors, inappropriate phrasing, or unintended bias. While we tune our prompts to minimize this, no AI system is perfect.
- You retain ownership of the final content published on your store — including content originally generated by our AI pipeline.
- We make no guarantee that AI-generated content will improve your search rankings, traffic, or sales. SEO outcomes depend on many factors outside our control (search engine algorithms, competitive landscape, your existing site quality).
- To the maximum extent permitted by law, we are not liable for any loss of search rankings, traffic, sales, or reputation arising from AI-generated content you choose to publish.
8. Intellectual Property
- Our IP: the iAmAI software, dashboards, prompts, AI fine-tuning logic, brand, and documentation are owned by us and protected by copyright and other applicable laws. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription.
- Your IP: your store data, products, brand, and any content you provide remain entirely yours. We obtain no ownership rights over them.
- Generated content: AI-generated suggestions become yours upon your acceptance and publication. Until accepted, they exist as draft suggestions on our system.
- Feedback: if you provide ideas, feature requests, or other feedback, we may use that feedback to improve the Service without obligation to you, while remaining committed not to disclose any confidential information you've shared.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL ACHIEVE ANY PARTICULAR SEO RESULT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY, SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US (THROUGH SHOPIFY BILLING) DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD 100, WHICHEVER IS GREATER.
IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR LOST BUSINESS OPPORTUNITY — EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow exclusion or limitation of certain warranties or liabilities; in those jurisdictions, the limitations apply to the maximum extent permitted by law.
11. Termination
11.1 Termination by you
You may terminate your subscription at any time by uninstalling the app from Shopify Admin or by contacting us. Upon termination, we will cease processing your data and delete it according to the retention schedule in our Privacy Policy.
11.2 Termination by us
We may suspend or terminate your access to the Service, with or without notice, if:
- You materially breach these Terms (including the Acceptable Use clauses).
- Your subscription payment fails and is not cured within 14 days.
- We are required to do so by law or by Shopify.
- We discontinue the Service or any feature on which your use depends — in which case we will give at least 30 days' notice and offer a pro-rata refund where applicable.
11.3 Effect of termination
- Your access to the dashboard ends.
- Automated SEO updates to your store stop.
- Existing changes already published to your store remain — uninstalling the app does NOT roll them back unless you explicitly request rollback during account deletion.
- Data retention follows the schedule in the Privacy Policy.
- Sections of these Terms that by their nature should survive (Sections 7, 8, 9, 10, 12, 13) survive termination.
12. Indemnification
You agree to defend, indemnify, and hold harmless iAmAI, its founders, employees, and contractors from any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your violation of these Terms; (b) your violation of any law or third-party right; (c) content you publish using the Service that infringes a third party's rights; or (d) misuse of the Service.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts in Tel Aviv-Yafo, Israel.
For European Economic Area customers: nothing in this section affects your statutory rights or your right to bring proceedings in your country of residence where required by mandatory consumer law.
14. Changes to These Terms
We may revise these Terms from time to time. Material changes will be communicated to active subscribers by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you disagree with the changes, you may cancel your subscription before they take effect.
15. Miscellaneous
- Assignment: we may assign these Terms to a successor in connection with a merger, acquisition, or sale of all or substantially all of our assets; you may not assign without our prior written consent.
- Severability: if any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
- No waiver: our failure to enforce any provision is not a waiver of that provision.
- Entire agreement: these Terms together with the Privacy Policy constitute the entire agreement between you and us regarding the Service.
